Junis AI Agent Platform

Effective Date: January 11, 2025

These Terms of Service ("Terms") govern your use of the Junis AI Agent Platform ("Service") provided by Tooeasy Inc. ("Company", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

Article 1: Purpose

These Terms establish the rights, obligations, and responsibilities between Tooeasy Inc. and users regarding the Junis platform (junis.ai) and related services.

Article 2: Definitions

1. "Service"

Refers to the AI agent creation, management, and execution platform provided by the Company, including web interfaces, APIs, MCP integrations, RAG knowledge bases, scheduling features, and other related services.

2. "Member" or "User"

Any individual who agrees to these Terms and uses the Service, including all users authenticated via Google OAuth 2.0.

3. "Organization"

A team-based workspace created by members where multiple users can collaborate and share agents.

4. "Agent"

An AI conversational system created and configured through the Service, including LLM models (Anthropic Claude, Google Gemini, OpenAI, DeepSeek, Qwen, and others), prompts, tools, and configurations.

5. "Token"

The basic unit used by AI models to process text, serving as the basis for usage measurement and billing.

6. "Credit"

Virtual currency used to pay for Service usage fees, where 1 Credit = 1 USD.

7. "MCP (Model Context Protocol)"

Protocols and integration tools for connecting external services (Notion, GitHub, Gmail, Salesforce, Slack, and 20+ platforms) with agents.

Article 3: Publication and Amendment of Terms

1. The Company shall post these Terms on the Service's initial screen and homepage so that members can easily access them.

2. The Company may amend these Terms to the extent that it does not violate relevant laws, including the Act on Regulation of Terms and Conditions and the Act on Promotion of Information and Communications Network Utilization and Information Protection.

3. When amending these Terms, the Company shall specify the effective date and reasons for amendment and post them on the Service's initial screen within a reasonable period in advance of the effective date. However, if the amendment is unfavorable to members, the Company shall notify members with reasonable advance notice via email.

4. If a member does not agree to the amended Terms, they may terminate the service agreement. However, if a member does not raise an objection within 30 days of the amendment notice or continues to use the Service, they shall be deemed to have agreed to the amended Terms.

Article 4: Service Provision and Changes

1. Services Provided by the Company

  • AI Agent Creation & Management: No-code interface for configuring LLM-based conversational AI agents
  • Multi-Agent Orchestration: Sequential, Parallel, and Loop execution patterns
  • MCP Integrations: Connect with Notion, GitHub, Gmail, Salesforce, Slack, and 20+ external platforms
  • RAG Knowledge Base: Upload and AI-search documents (PDF, XLSX, PPTX, DOCX, and more)
  • Scheduling: Time-based automatic agent execution
  • API Access: OpenAI-compatible API for external service integration
  • Agent Marketplace: Publish and share public agents
  • Voice Input: Voice recording and text conversion
  • File Processing: Document analysis via Claude Skills and other tools

2. Service Changes

The Company may modify the Service for operational or technical reasons. If there are changes to the content, usage methods, or usage times of the Service, the Company shall notify users via the Service screen or email, including the reasons for the changes and the effective date.

⚠️ Beta Features: The Company may provide certain features in beta version. Beta features may be changed or discontinued without notice, and the Company does not guarantee their stability or performance.

Article 5: Service Interruption

1. The Company may temporarily suspend the Service due to maintenance, replacement, or failure of information and communication facilities, or interruption of communications.

2. The Company shall not be liable under any circumstances for damages incurred by users or third parties due to temporary suspension of the Service.

3. The Company may temporarily suspend the Service for regular maintenance, emergency maintenance, server migration, system upgrades, and other necessary operations. Scheduled maintenance shall be announced within a reasonable period in advance.

In case of emergency maintenance, the Service may be suspended without prior notice.

Article 6: Membership Registration

1. Membership registration is only possible through Google OAuth 2.0 authentication, and the email address from your Google account serves as your member identifier.

3. Members must provide real names and accurate information during registration. Providing false information or using another person's information may result in service restrictions and legal penalties.

⚠️ Age Restriction: The Service is only available to users aged 16 or older.

Minors between ages 16 and 18 must obtain parental consent before registration. Membership registered without parental consent will be immediately terminated upon discovery.

4. The Company may refuse membership registration or terminate membership in the following cases:

  • Using another person's name
  • Providing false information or omitting required information
  • Applying in violation of other provisions due to the user's fault
  • Children under 16 registering without parental consent
  • Previous termination of membership due to Terms violation (during re-registration restriction period)

Article 7: Membership Withdrawal and Termination

1. Members may request withdrawal at any time through the Service settings menu or customer center, and the Company shall process the withdrawal immediately.

2. Upon withdrawal, please note the following:

  • All conversation history, agent settings, and uploaded files will be permanently deleted and cannot be recovered
  • Remaining credits will not be refunded and will be immediately forfeited
  • Active subscriptions will be canceled immediately with no prorated refund
  • Organization owners must first delete the organization or transfer ownership before withdrawal

3. The Company may restrict or suspend membership without prior notice in the following cases:

  • Providing false information during registration
  • Interfering with other members' service use or stealing their information
  • Using the Service to engage in activities prohibited by law or these Terms or violating public order and morals
  • Failure to fulfill payment obligations, such as non-payment of fees or exceeding credit limits
  • Abnormally excessive API calls or service abuse
  • Using AI to create illegal content, distribute malware, or attempt hacking

🚫 Re-registration Restriction: If membership is terminated due to Terms violation,re-registration is restricted for 30 days. In cases of serious violations, re-registration may be permanently restricted.

Article 8: Notification to Members

1. The Company may notify members via the email address provided during registration.

2. For notifications to an unspecified number of members, posting on the Service screen may substitute for individual notification. However, matters that significantly affect a member's transactions shall be individually notified.

3. Members may withdraw email consent at any time. However, essential transaction-related notifications and notices will be sent regardless of consent status.

3. Payment Methods

  • Subscription Payments: Automatic credit card billing via Lemon Squeezy (charged on the 1st of each month)
  • Credit Top-up: One-time credit card payment via Lemon Squeezy
  • Cryptocurrency: USDC (Ethereum/Base network) - for Agent Marketplace payments only

🚫 Refund Policy

⚠️ Refund Restrictions for Digital Content

In accordance with Article 17, Paragraph 2, Item 5 of the Electronic Commerce Act, refunds are restricted in the following cases:

  • Subscription Fees: Non-refundable once service usage begins
    • Usage is considered to have begun once an agent is executed or conversation history is created
  • Credit Top-ups: Non-refundable immediately upon completion (digital content delivery has begun)
  • USDC Cryptocurrency Payments: Non-refundable due to blockchain immutability

4. Subscription Cancellation

  • Members may cancel subscriptions at any time (Service Settings → Subscription Management)
  • Upon cancellation, automatic billing will stop from the next billing date
  • No prorated refund for already paid fees
  • After cancellation, you can continue using the Service until the end of the current billing period

5. Non-payment and Overdue Accounts

  • Failed subscription payments will be retried for 3 days before automatic cancellation
  • If credit balance falls below -$3, service usage will be immediately restricted
  • All features (agent execution, API calls, etc.) will be blocked during non-payment status
  • Service usage will resume immediately upon credit top-up

Article 10: Service Restrictions

1. Fair Use Policy

The Company applies the following fair use policy to provide stable service to all users:

  • API Rate Limits: Maximum 60 calls per minute, 1,000 calls per hour (varies by plan)
  • Concurrent Request Limit: Maximum 5 concurrent requests
  • File Upload Limits: Maximum 50MB per file, 1GB per day
  • Session Limits: Maximum 100 active sessions per account

2. Prohibited Activities

Members must not engage in the following activities, which may result in service restrictions or legal liability:

  • Creating illegal content: child sexual abuse material, violent content, hate speech, terrorism promotion, etc.
  • Intellectual property infringement: violating copyrights, trademarks, patents, or other IP rights
  • Fraud and spam: phishing, scams, spam message generation
  • Malware creation: developing malware, viruses, hacking tools, and other malicious software
  • Unauthorized personal data processing: collecting, processing, or sharing others' personal information without consent
  • Service abuse: excessive API calls, DDoS attacks, crawling, scraping, and other misuse
  • Account sharing and resale: providing or selling your account to others
  • AI model extraction attempts: reverse engineering, model distillation, weight extraction, and similar activities

3. Enforcement Measures

The Company may take the following actions upon confirmation of prohibited activities:

  • Warning: Email warning for first violations
  • Temporary Suspension: 7-30 day service suspension for second or serious violations
  • Permanent Suspension: Account permanent deletion for repeated violations or criminal activities
  • Legal Action: Report to law enforcement and pursue civil/criminal liability for criminal activities

Article 11: Intellectual Property Rights

1. Company's Intellectual Property

All content within the Service (text, graphics, logos, images, software, databases, etc.) is owned by the Company or third parties, and members may not reproduce, distribute, transmit, or modify such content without authorization.

2. Member-Generated Content

Copyright for prompts, agent configurations, and uploaded files created by members through the Service belongs to the member. However, members agree to the following:

  • Grant the Company a non-exclusive, royalty-free, worldwide license to use member content for Service provision, improvement, and marketing purposes
  • Publicly shared agents (Marketplace registrations) may be copied and used by other members
  • The Company may review member content for legal compliance, Terms enforcement, and safety verification

⚠️ AI-Generated Content Disclaimer

The Company does NOT guarantee the following regarding AI-generated content (text, code, images, etc.):

  • Accuracy: Factual correctness or accuracy of AI responses is not guaranteed
  • Legality: Non-infringement of third-party copyrights, trademarks, patents, or other IP rights is not guaranteed
  • Originality: AI-generated content may be similar to or identical to existing works
  • Exclusive Rights: Other members may generate identical content using the same prompts

Members are responsible for verifying the accuracy, legality, and copyright compliance of AI-generated content before use. All legal liability arising from such use rests with the member.

3. Third-Party Content

The Service may include content provided by third parties (e.g., external API responses, MCP integration data from Notion, GitHub, and other platforms). Copyright for such content belongs to the respective third parties. Members must comply with third parties' terms of service and privacy policies.

Article 12: Company's Obligations

1. The Company may exercise rights and perform obligations within a reasonable scope.

2. The Company shall establish security systems to protect personal information (including credit information) so that members can safely use the Service, and shall publish and comply with its Privacy Policy.

3. The Company may process opinions or complaints submitted by members regarding Service use if deemed reasonable. The Company shall notify members of the processing status and results via bulletin boards, email, or other means.

4. The Company will make reasonable efforts to provide continuous and stable Service. However, this shall not apply in cases of force majeure or equivalent circumstances.

Article 13: Member's Obligations

1. Members must not engage in the following activities:

  • Providing false information during registration or modification
  • Stealing others' information
  • Altering information posted by the Company
  • Transmitting or posting information (such as computer programs) other than that designated by the Company
  • Infringing intellectual property rights of the Company or third parties
  • Damaging the reputation of or interfering with the business of the Company or third parties
  • Publicly posting or disclosing obscene, violent messages, images, audio, or other content contrary to public order and morals
  • Using the Service for illegal activities or criminal purposes

2. Members must comply with relevant laws, these Terms provisions, usage guidelines, Service-related precautions announced by the Company, and matters notified by the Company, and must not engage in activities that interfere with the Company's business.

3. Members must not provide their account information (email, password, etc.) to others. If members become aware of account theft or unauthorized use by third parties, they must immediately notify the Company and follow the Company's instructions.

4. Members must pay Service usage fees by the due date.

Article 14: Disclaimer of Warranties

⚠️ Service Provided "AS-IS"

The Company provides the Service "AS-IS" and makes no express or implied warranties regarding the following:

  • Merchantability: No guarantee of fitness for a particular purpose
  • Accuracy: No guarantee of factual correctness of AI responses
  • Completeness: No guarantee that results are complete or error-free
  • Reliability: No guarantee of uninterrupted Service provision
  • Legality: No guarantee that AI-generated content complies with laws

1. Third-Party Services and Disputes

The Company is not responsible for the following:

  • Third-Party AI Models: Response quality and availability of Anthropic Claude, Google Gemini, OpenAI, DeepSeek, Qwen, and other AI models
  • MCP Integration Services: Service outages or data loss from Notion, GitHub, Gmail, Salesforce, Slack, and 20+ external platforms
  • Payment Processors: System failures or transaction delays from Lemon Squeezy, Coinbase, and other payment providers
  • Inter-Member Disputes: Disputes arising from public agent usage, data sharing, or other member interactions

2. Force Majeure

The Company shall not be liable for inability to provide the Service due to:

  • Natural disasters, war, terrorism, pandemics, and similar events
  • Government orders, regulations, or changes in laws
  • Service interruptions by third-party AI model providers (Anthropic, Google, OpenAI, and others)
  • Cloud infrastructure failures (Google Cloud, Kakao Cloud, and other providers)
  • Internet network failures, DDoS attacks, and similar incidents

3. Member's Fault

The Company is not responsible for Service disruptions or damages caused by the member's fault:

  • Account information leaks or provision to others
  • Data loss due to member's carelessness (deletion, overwriting, etc.)
  • Computer errors or network failures on the member's end
  • Service restrictions due to Terms violations

4. Indirect Damages

The Company shall not be liable for the following damages arising from Service use:

  • Indirect Damages: Loss of profits, data loss, loss of business opportunities, etc.
  • Consequential Damages: Disputes with third parties or legal liability resulting from use of AI-generated content
  • Punitive Damages: Defamation, emotional distress, or similar harm
  • Special Damages: Damages caused by unforeseeable special circumstances

Article 15: Limitation of Liability

1. The Company shall only be liable for direct damages caused to members by the Company's intentional misconduct or gross negligence. The Company shall not be liable for any damages arising from circumstances not attributable to the Company.

💰 Damages Cap

The Company's liability for damages is limited to the following:

  • Free Plan Members: USD $10 (Ten Dollars)
  • Basic Plan Members: Total subscription fees paid in the past 3 months
  • Pro Plan Members: Total subscription fees paid in the past 3 months

However, this limitation does not apply in cases of the Company's intentional or gross negligence, or damages to life or body.

2. If the Company receives damage claims or lawsuits from third parties (other than the member) due to the member's illegal acts or Terms violations, the member must indemnify the Company at their own expense and responsibility. If the Company is not indemnified, the member shall compensate the Company for all damages incurred.

Article 16: Dispute Resolution

1. The Company shall prioritize processing complaints and opinions submitted by members. However, if rapid processing is difficult, the Company shall immediately notify members of the reason and processing schedule.

2. Regarding e-commerce disputes between the Company and members, if a member requests damage relief, the Company may comply with dispute resolution procedures referred by the Fair Trade Commission or provincial/metropolitan mayors.

⚖️ Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea.

Lawsuits arising from disputes related to Service use shall be filed with the competent court under the Civil Procedure Act.

Disputes between the Company and members shall be subject to the exclusive jurisdiction of the Seoul Central District Court of the Republic of Korea.
